Nordic Capital Fund V ("Nordic Capital") and funds advised by CVC Capital Partners ("CVC") have through their holding companies Cidron Pord S.A.R.L and Godis Holding S.A.R.L, on 28 November 2012, agreed to sell 21 million shares on a pro rata basis in Cloetta AB ("Cloetta" or the "Company") to four institutional investors, representing 7.3% of all outstanding shares in the Company. Lannebo Fonder AB, one of Sweden's leading equity fund managers, acquired 16.5 million shares, representing 5.7% of all outstanding shares in the Company. The price paid by investors was SEK 13.25 per share. Following the closing of the sale, Nordic Capital will own 61,336,079 shares representing 21.3% of capital and 15.5% of votes in Cloetta and CVC will own 82,525,559 shares representing 28.6% of capital and 20.9% of votes in Cloetta.
